1. Agreement
These Terms of Service ("Terms") govern your use of VoiceoverWise, including the website at voiceoverwise.com, the web application, free tools and API (together, the "Service"). The Service is provided by MERACUR LLC, a Missouri limited liability company with its mailing address at 8301 State Line Rd, Ste 220 #2254, Kansas City, MO 64114, United States ("MERACUR LLC", "we", "us"). VoiceoverWise is a brand of MERACUR LLC.
By creating an account, purchasing credits or using the Service, you agree to these Terms and to our Acceptable Use Policy. If you use the Service on behalf of an organization, you confirm you are authorized to accept these Terms for it. You must be at least 18 years old to use the Service.
2. The Service
VoiceoverWise is web-based software that converts text you provide ("Scripts") into synthetic speech audio ("Audio") using AI text-to-speech technology, together with tools to prepare scripts (such as pronunciation rules), generate subtitle files, process scripts in bulk and access the Service via API. The Service is delivered online; nothing is shipped.
All voices offered by the Service are synthetic, AI-generated voices. The Service does not offer voice cloning or the creation of voices that imitate a specific real person.
3. Accounts
You must provide accurate information and keep your login credentials and API keys secure. You are responsible for activity under your account. One person or organization may not create multiple accounts to obtain additional free credits. Notify us promptly at [email protected] if you suspect unauthorized access.
4. Credits, pricing and payment
- Credits. The Service is paid for with credits. One credit is consumed for each character of a Script you submit for generation, as described on our How it works page (about 900 characters make one minute of audio). The cost is shown before you generate.
- Free credits. Every account receives 10,000 free credits at the start of each calendar month. Free credits expire at the end of the month in which they are granted and have no cash value.
- Credit packs. You may buy one-time credit packs: Starter Pack ($29 for 300,000 credits), Creator Pack ($79 for 1,000,000 credits), Studio Pack ($199 for 3,000,000 credits). Prices are shown in US dollars. Credit packs are one-time purchases. They are not subscriptions and never renew automatically.
- Validity. Purchased credits are valid for 12 months from the date of purchase. Credits that expire soonest are used first.
- Failed generations. Credits are reserved when you request a generation. If the generation fails, the reserved credits are returned to your balance automatically. Regenerating a clip you were not happy with uses credits again.
- Nature of credits. Credits are a prepaid right to use the Service. They have no cash value, cannot be withdrawn, transferred, sold or exchanged, and can only be used within the Service.
- Payment processing. Payments are processed by Polar Software, Inc. ("Polar"), which acts as Merchant of Record for purchases. Polar handles checkout, calculates and collects applicable sales tax or VAT, and issues receipts and invoices. We do not receive or store your full card details. Polar's terms apply to the payment transaction.
- Price changes. We may change pack prices for future purchases. Changes never affect credits you have already bought.
5. Refunds
You may request a full refund of a credit pack within 14 days of purchase if less than half of that pack's credits have been used. Full details are in our Refund Policy, which forms part of these Terms.
6. Your Scripts and your Audio
You keep all rights to your Scripts. As between you and us, you own the Audio and subtitle files generated for you, and you may use them for personal and commercial purposes, including in monetized videos, advertising, courses, podcasts, apps and phone systems, provided your use complies with these Terms, the Acceptable Use Policy and applicable law.
You are responsible for your Scripts and for how you use the Audio, including having the rights to any text you submit (for example, you may not submit copyrighted text you are not permitted to reproduce). Because the voices are synthetic and offered to other customers too, you do not receive exclusive rights to any voice itself.
You grant us a limited license to process your Scripts and Audio solely to provide the Service, including sending Scripts to our text-to-speech provider and storing files for download. We do not use your Scripts or Audio to train AI models and do not sell them.
7. Acceptable use and AI disclosure
Your use of the Service must comply with our Acceptable Use Policy. In particular, you must not use the Service or the Audio to impersonate any real person, to deceive or defraud anyone, for robocalls or unsolicited calls, or to create unlawful, harassing, hateful or sexually explicit content.
You must not claim or imply that Audio is spoken by a real human. Where a law, regulation or platform rule requires it, you must disclose that the voice is AI-generated.
We may suspend accounts, remove content and refuse service where we reasonably believe this section or the Acceptable Use Policy has been violated. Where practical, we will contact you first.
8. Third-party technology
Speech is generated by third-party AI text-to-speech technology that we access through official business APIs. Synthetic speech can contain errors, such as mispronunciations, omissions or unnatural intonation, and delivery can vary between generations. You are responsible for reviewing Audio before you publish or use it. Provider availability may change, and we may change providers or models to maintain the Service.
9. File retention
Generated Audio files are stored for 30 days so you can download them, then deleted automatically. Scripts and clip history remain in your account until you delete them. Please keep your own copies of Audio you need.
10. Our intellectual property
The Service, including its software, design, text, voice names and the VoiceoverWise name and logo, is owned by MERACUR LLC or its licensors and protected by law. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your use of it. If you send us feedback, we may use it without obligation.
11. Availability and changes
We work to keep the Service available and reliable, but it is provided without a guaranteed uptime commitment. We may modify, add or remove features or voices. If we discontinue the Service entirely, we will give at least 30 days' notice and refund unused purchased credits that have not expired, pro rata.
12. Termination
You may stop using the Service and delete your account at any time from Settings. Deleting your account permanently removes your Scripts, Audio and history; unused credits are forfeited unless a refund is due under the Refund Policy. We may suspend or terminate access for material breach of these Terms or the Acceptable Use Policy. If we terminate for reasons other than your breach, we will refund unused, unexpired purchased credits pro rata.
13. Disclaimers
Except as expressly stated in these Terms, the Service and Audio are provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement, to the maximum extent permitted by law. We do not guarantee any result from using the Audio, such as views, monetization, sales or platform approval.
14. Limitation of liability
To the maximum extent permitted by law, MERACUR LLC will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim, or US $50 if greater. Nothing in these Terms limits liability that cannot be limited by law.
15. Indemnity
You agree to indemnify MERACUR LLC against third-party claims arising from your Scripts, your use of the Audio, or your violation of these Terms or the Acceptable Use Policy, to the extent permitted by law.
16. Governing law
These Terms are governed by the laws of the State of Missouri, United States, without regard to conflict-of-law rules. The state and federal courts located in Jackson County, Missouri have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court. If you are a consumer, you keep any mandatory protections of the law of your country of residence.
17. Changes to these Terms
We may update these Terms. For material changes we will notify you by email or in the app at least 14 days before they take effect. The "Last updated" date shows the current version.
